If you are using the Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Invoices are issued according to your billing cycle. Payment is due within the timeframe specified in your service agreement. Late payments may incur interest charges and may result in service suspension.
We reserve the right to modify our fees with 30 days' written notice. Continued use of the Services after fee changes take effect constitutes acceptance of the new fees.
The Services, including all content, features, and functionality (including but not limited to software, text, graphics, logos, icons, images, audio clips, and data compilations), are owned by ShipFifty or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms.

You retain ownership of any content, data, or materials you provide to us ("Your Content"). By providing Your Content, you grant us a license to use, store, and process it as necessary to provide the Services.

We strive to maintain 99.9% platform uptime but cannot guarantee uninterrupted access to the Services. Scheduled maintenance will be communicated in advance when possible.
We provide customer support during business hours. Support response times and channels depend on your service level agreement.
Our Services integrate with third-party platforms and carriers. We are not responsible for outages, delays, or issues caused by these third-party services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPFIFTY SHALL NOT BE LIABLE FOR:
Shipping carrier liability is governed by the carrier's terms and tariffs. We will assist in filing claims but are not liable for carrier delays, damages, or losses beyond the extent covered by the carrier's liability.
Our liability for lost, damaged, or destroyed inventory while in our possession is limited to the declared value of the inventory or replacement cost, whichever is lower, subject to the terms of your service agreement.
You agree to indemnify, defend, and hold harmless ShipFifty and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
You may terminate your account at any time by providing written notice in accordance with your service agreement. You remain responsible for all fees incurred prior to termination.
We may suspend or terminate your access to the Services immediately if you:

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles.
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New Jersey.
You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and ShipFifty regarding the Services.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
We may provide notices to you via email, through the platform, or by posting on our website. You may provide notices to us at the address below.
We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
